September Meeting: Private Company Valuation Trends

The September Chapter Meeting will be held on Wednesday, September 10, 2014 at the Doubletree Guest Suites in Plymouth Meeting, PA. The Board of Directors will meet at 5:00 pm; all ASA members are welcome. The general meeting starts at 6:30.

bob wegbreitThe guest speaker will be Bob Wegbreit, one of three partners in the West Conshohocken firm of GF Data Resources, LLC. GF Data provides valuation data on middle-market transactions backed by private equity. He will talk about “Private Company Valuation Trends: 2014 Mid-Year State of the Lower Middle Market.”

Mr. Wegbreit is a marketing and strategy specialist working in categories of printing and publishing, web-based business solutions, home services and channel distribution. He has a B.S. from Boston University, and was a Senior Vice President of Sales and Marketing for the Dismar Corporation, a national point-of-sale advertising manufacturer.

Bob will discuss proprietary valuation and cost of capital information from GF Data’s mid-year benchmarking reports. The reports, considered among the most reliable, describe completed acquisitions valued between $10-250 million. They include confidential transaction details contributed by over 220 North American private equity firms.

SAVE THE DATES. This is the first meeting of the 2014-2015 season. Other meetings, all at the Doubletree, are November 19, January 21 (breakfast) and March 18. A May dinner meeting at a special venue is also planned but not finalized.

February Meeting: Auctions and Appraisals

The February Meeting of the ASA Northern NJ Chapter will be held on Thursday, February 20, 2014 at 6:00 pm at Maggiano’s, 70 Riverside Square Mall, Hackensack, NJ 07601 (Phone: 201-221-2040) [Map]. The Executive Meeting is scheduled for 6:00 pm followed by Dinner at 7:00. The guest speaker is Mitchell Caspert, Esq., a principal of Caspert Auctioneers & Appraisers in Englewood Cliffs, NJ. Mr. Caspert will discuss “Overcoming Your Seller’s Bloated Expectations.”

mitchellcaspertMitchell Caspert, who took his B.S. at Syracuse University and his J.D. at the Thomas Jefferson School of Law. enjoyed a 20-year career supervising the administration of attorneys and legal professionals at two prominent New York City law firms. After 9/11. he returned to the family business, while maintaining his interest in the law and technology.

Mr. Caspert has lectured attorneys about technology, and has moderated Ask A Lawyer, a weekly metro area television program. A popular speaker at financial seminars, trade groups and professional associations, he is an expert on the auction & appraisal business.

The program qualifies for two hours of ASA Continuing Education Credit. March Meeting: Buy-Sell Agreements

The March Chapter Meeting will be held on Wednesday, March 19, 2014 at the Doubletree Guest Suites in Plymouth Meeting, PA. The Board of Directors will meet at 5:00 pm; all ASA members are welcome. The general meeting starts at 6:30. The guest speaker will be Curtis L. Golkow, Esq. of the eponymous Philadelphia firm of Golkow Business Law LLC. Mr. Golkow will discuss “Buy-Sell Agreements.”

GolkowMr. Golkow, who holds a B.S. in Economics from the Wharton School of Business and a J.D. from the University of Pennsylvania Law School, has drafted and negotiated many buy-sell agreements, including model buy-sell provisions for Pennsylvania LLCs as a member of the Pennsylvania Bar Association’s PA LLC Forms Committee Task Force. He has also served as an expert witness regarding buy-sell agreements, and is a frequent speaker and lecturer on the topic.

Because appraisers and attorneys are often among the first professionals consulted whenever a business is bought or sold, Mr. Golkow’s presentation is sure to be of interest to ASA members in virtually all disciplines. The Philadelphia Chapter of the American Society of Appraisers (ASA) will hold its annual Business Valuation Seminar at the Doubletree Guest Suites Hotel in Plymouth Meeting, PA on Friday, May 2, 2014.  The program includes sessions focused on

  • Commercial Reasonableness in Exempt Hospital Transactions
  • Valuation and Investing in the Face of Uncertainty
  • Cost of Capital using Duff & Phelps given Morningstar’s Exit
  • Tax Perspectives and Fair Market Value.

November Meeting: Healthcare Industry Trends

The November Chapter Meeting will be held on Wednesday, November 20, 2013 at the Doubletree Guest Suites in Plymouth Meeting, PA. The Board of Directors will meet at 5:00 pm; all ASA members are welcome. The general meeting starts at 6:30. The guest speaker will be ASA Philadelphia Chapter member William Mitchell, ASA, CFA.  Mr. Mitchell, who is with the Paoli, PA financial consulting firm of Haverford Capital Advisors, Inc. will talk about “Healthcare Industry Consolidation and Valuation Trends.”

William Mitchell, ASAMr. Mitchell holds a BA from Gettysburg College and an MBA in Finance from LaSalle University. He joined Haverford Capital Advisors in 1998. His professional experience includes a broad range of business valuation and transaction advisory projects with a particular focus on clients in the healthcare industry.  He has substantial experience in valuing pathology and clinical laboratories; radiology and imaging centers; and ambulatory surgery centers.

With the current focus on the healthcare industry and implementation of the Affordable Care Act, Mr. Mitchell’s presentation is sure to be of interest to ASA members in all disciplines. The September Chapter Meeting will be held on Wednesday, September 18, 2013 at the Doubletree Guest Suites in Plymouth Meeting, PA. The Board of Directors will meet at 5:00 pm; all ASA members are welcome. The general meeting starts at 6:30. The guest speaker will be ASA Philadelphia Chapter member David R. Aglira, ASA. Mr. Aglira, who is ASA designated in both Real Property (Urban) and MTS (Machinery & Equipment), is a Managing Director in KPMG’s Economic and Valuation Services practice.  He will talk about “Audit Reviews of Appraisals for Financial Reporting.”

davidagliraMr. Aglira took his B.S. at James Madison University and is enrolled at Villanova for an M.B.A. in 2014. David specializes in valuations for the pharmaceutical, telecommunications, gaming, retail, and heavy manufacturing industries. He has performed valuations related to mergers and acquisitions, financial reporting, corporate restructuring, income tax and tax planning for large and middle market multinational clients across a range of industries.

Mr. Aglira will outline some of the issues and misconceptions surrounding audit reviews associated with appraisals performed for financial reporting purposes. He will discuss best practices for these appraisals and the accounting regulations that can trigger questions about them.
